Yduqs Acquires Edufor Campus: Expanding Medical Education Amid Financial Growth
In a bold move, Yduqs, the parent company of Estácio university network, has acquired Edufor’s campus in São Luís, Maranhão, for R$145 ($24) million. This acquisition, announced on Monday, December 9, 2024, marks a significant step in Yduqs’ expansion strategy.
The deal encompasses Edufor’s São Luís campus, which offers 13 undergraduate courses to approximately 3,000 students. Notably, 90% of these courses are in the health and law sectors, with medicine being a key offering.
This expansion comes on the heels of Yduqs’ impressive financial performance. The company reported a 62.7% increase in net profit for the third quarter of 2024 compared to the previous year, reaching R$189 million.
However, the company’s financial landscape is not without challenges. Yduqs’ net debt has risen to R$2.755 billion, maintaining a leverage ratio of 2.5x. This figure represents the relationship between net debt and cash generation, as measured by adjusted EBITDA.
On a positive note, Yduqs’ operational cash flow saw a remarkable 120% growth, according to a report by XP analysts. This surge in cash flow provides the company with increased financial flexibility for strategic investments.
The market’s initial reaction to the acquisition was positive. Yduqs’ stock price jumped 4.70% to R$8.68 on the day of the announcement, outperforming the Ibovespa index’s 1.03% gain.
Analysts from Goldman Sachs project that this acquisition will elevate Yduqs’ valuation. They estimate the company’s enterprise value to EBITDA ratio will reach 4.1x by the end of 2027, up from their previous projection of 2.5x.

Despite this, Goldman Sachs maintains a neutral stance on Yduqs’ stock. They view the acquisition as strategically positive but not transformational, setting a 12-month price target of R$13, representing a 55% upside potential.
Itaú BBA analysts are more optimistic, rating Yduqs’ stock as outperform. They project a potential 141% stock price increase by 2025, with a target price of R$20.00.
The acquisition’s structure involves an initial payment of R$72.5 million, with the remaining amount to be paid in five annual installments. An additional R$1 million earn-out is tied to each new medical course vacancy approved by the Ministry of Education until 2027.
This strategic move by Yduqs reflects the company’s commitment to strengthening its position in medical education. The relatively low valuation of the acquisition, with an implied EV/EBITDA multiple of 2.5x for 2025, suggests potential for value creation.
