Traxión, a Mexican trucking and logistics group, made almost no profit in the third quarter. Fuel costs and job cuts hit its freight trucks business hardest.

Traxión, a Mexican trucking group, said on Monday, 26 October, that profit fell 90.2% to Ps 11 million (about US$0.6 million). Third-quarter revenue still rose 8.1% to Ps 9,318 million (about US$499 million).

For US readers, Traxión is one read on freight costs inside Mexico. Its release blames higher fuel prices, a strong peso and reorganisation costs, and a company profile tracks the group.

The results came days after a buyout offer from a company controlled by Traxión’s executive president drew 49.2% of the shares. Conversions here use 18.67 pesos per US dollar (open.er-api.com, 28 October 2026).

What the Numbers Show

EBITDA fell 15.1% to Ps 1,199 million (about US$64 million), and the margin shrank to 12.9% from 16.4% a year earlier. Operating income dropped 30.6% to Ps 439 million (about US$24 million).

Financing costs of Ps 419 million (about US$22 million) and taxes took almost all of it. Net income was Ps 11 million against Ps 112 million, and earnings per share were Ps 0.02 against Ps 0.20.

For the first nine months, net income was Ps 53 million (about US$2.8 million), down 84.0%. Revenue over the nine months rose 21.8% to Ps 27,727 million (about US$1.48 billion).

The Freight Trucking Unit Took the Hit

Mobility of Cargo, the freight trucking unit, earned EBITDA of Ps 227 million (about US$12 million), down 43.4%. Its margin fell to 10.8% from 20.6% a year earlier.

Revenue per kilometre rose 14.5%, but cost per kilometre rose 27.9%, and kilometres driven fell 11.0%. Group fuel costs rose 17.9% to Ps 981 million (about US$53 million), which the company ties to higher global energy prices.

General expenses rose 13.6%, mainly from headcount cuts of about Ps 116 million (about US$6 million) in the reorganisation. The company also cites the strong peso and fleet disposals as pressures on the cargo unit.

Warehouses and Buses Held Up Better

Logistics and Technology, which runs warehouses and freight brokerage for clients, grew revenue 10.7% to Ps 4,296 million (about US$230 million). Its EBITDA rose 5.5% to Ps 371 million (about US$20 million), and it now makes 46.1% of group revenue.

Mobility of Personnel, which runs staff and passenger buses, grew revenue 4.1% to Ps 2,912 million (about US$156 million). Its EBITDA fell 8.2% to Ps 660 million (about US$35 million) as fuel and reorganisation costs rose.

Buyout Offer Drew 49.2% of Shares

Pantera Holdings, which the earnings release ties to Executive President Aby Lijtszain, offered Ps 13.18 per share (about US$0.71). The offer, for up to all shares, began on 22 September and expired on Tuesday, 20 October, exchange filings show.

Holders tendered 267,011,256 shares, or 49.2% of the total, and the offeror accepted them. At the offer price that is about Ps 3.52 billion (about US$188 million), by Rio Times arithmetic.

The price was a 20.4% premium to the 60-day average share price of Ps 10.95, the offer notice says. Earlier coverage: Traxión Chairman Bids for All of Mexico’s Top Trucker and Mexico’s Traxión Faces a US$415 Million Buyout Bid From Pantera.

Traxión says the shares stay listed because the offer was not made under Article 108, Mexico’s delisting rule. The company stays bound by the duties of a listed issuer.

Debt and Cash Flow

Net debt was Ps 12,598 million (about US$675 million), or 2.49 times trailing EBITDA, up from 2.35 times a year earlier. Short-term debt rose to Ps 4,035 million (about US$216 million) from Ps 1,417 million.

Net operating cash flow fell 36.0% to Ps 923 million (about US$49 million). Capital spending fell 54.1% to Ps 299 million (about US$16 million).

What Traxión Plans to Do

Executive President Aby Lijtszain says the group is running a cost and efficiency programme. It includes cutting capital spending by at least Ps 500 million (about US$27 million).

The plan also includes price increases, sales of lower-profit assets and more use of third-party trucks in brokerage. The release gives no numeric 2026 profit target.

What It Means for US Readers

Traxión hauls and stores goods and moves workers inside Mexico. Its squeeze is one read on Mexican freight costs; wider trade data are in Mexico Posts a US$606 Million Trade Deficit.

Investors face a smaller free float, the shares open to trading, as about half went to one buyer. Rio Times found no statement on a later delisting.

What Is Not Known

The filings do not say how many shares Pantera owns in total, or whether its owners tendered their own. The settlement date for the 267 million shares was not found.

The release gives no analyst forecast or margin target, so Rio Times does not compare the result with expectations. It also gives no date by which the cost programme should lift margins.

What Comes Next

The next test is the fourth-quarter report, when investors will look for a margin recovery in the cargo unit. Watch Mexican Stock Exchange notices for any change in Pantera’s holding or a new offer.

Management expects its cost cuts to improve margins, but it gave no date for that. Fuel prices and the peso will decide how fast.
