The opening bell has not rung yet, so here is what must happen first and what comes afterwards. It sits beside our guides to who runs Zimbabwe’s economy and Zimbabwe’s October inflation reading.

What Amalgamated Brands Zimbabwe Is Selling

Amalgamated Brands Zimbabwe is offering 57,142,857 ordinary shares at a fixed US$0.35 each, which raises US$20.0 million. An initial public offering (IPO) is the first time a company sells its shares to outside investors.

Only US$5.0 million of the offer is new shares, so that money goes to the company. The other US$15.0 million is existing shares sold by Takura Capital, the investment firm that owns the group and keeps that cash itself.

If demand is strong, Takura can sell up to US$9.8 million more of its own shares. Under the published terms, the first US$5.0 million of applications buys the new shares of Amalgamated Brands Zimbabwe, before any of Takura’s.

Why the Bell Is Not the Finish Line

Applications close at 12:00 Harare time on Monday 30 November 2026, and share allocations follow between 30 November and 4 December. Trading is targeted for Monday 7 December 2026, though the offer terms say dates may change.

A listing needs enough shares in public hands, and Amalgamated Brands Zimbabwe says about 30.74 percent will be. That is just above the 30 percent minimum the VFEX requires, leaving little room if buyers take fewer of Takura’s shares.

Takura would still hold about 69 percent after the base offer, or at least 55 percent if the extra shares are all sold. New investors in Amalgamated Brands Zimbabwe would therefore hold a minority stake with little say in company decisions.

What Amalgamated Brands Zimbabwe Does With the Money

Of the US$5.0 million of new money, about US$4.48 million is earmarked for equipment at the factory business, Cairns Foods. Listing costs of about US$0.52 million take the rest.

Plans include a biscuit line that should more than double capacity, a Tetra Pak (carton) line for baked beans and a snacks line. The wider 2026 to 2030 plan costs US$46.6 million, and the other US$42.1 million should come from cash flow and borrowing.

More than 95 percent of the group’s sales are billed in US dollars, which limits its exposure to swings in the Zimbabwe Gold (ZiG) currency. The ZiG traded near 26.6 per US$1 on 31 October 2026, according to open exchange-rate data.

The Numbers Behind Amalgamated Brands Zimbabwe

For 2025 the group reported pro forma revenue of US$78.7 million, up about 33 percent. Earnings before interest, tax, depreciation and amortisation (EBITDA) were US$10.47 million, and pro forma means the figures leave out Lobel’s Holdings, a business being sold.

First-half 2026 EBITDA was US$6.5 million, and the company projects revenue of US$94.4 million for 2026 and US$120 million by 2030. The first-half figure is unaudited, and the revenue numbers are projections, not guarantees.

The group paid shareholders US$3.25 million in the first half of 2026. That was a US$1.9 million dividend plus a US$1.35 million return of money put in earlier for a delivery fleet.

The board intends to pay out 30 to 40 percent of profit after tax over time. That is a stated aim, not a promise, and it stays a guide until the first dividend as a listed company is declared.

The offer price and the 30.74 percent public share imply a company value near US$65 million at US$0.35 per share. That is our arithmetic, not a figure the company has stated, so it should be checked against the prospectus.

What It Means for US Readers

The VFEX trades in US dollars, so an American investor with broker access would not hold ZiG. The company says all-in trading costs there are about 2.1 percent, against 4.6 percent on the older Zimbabwe Stock Exchange (ZSE) in Harare.

Washington ended its broad Zimbabwe sanctions programme on 4 March 2024 but kept targeted Global Magnitsky sanctions on 11 people and three companies. The offer terms do not say whether Takura Capital or its owners are listed, so any buyer should ask a broker to check.

Zimbabwe’s long record of runaway prices is a further risk, because local conditions can change fast. Our guides to Zimbabwe’s economy and to geopolitics and sanctions set out the background.

What Is Not Known

It is not known whether the offer will be fully taken up or whether trading will begin on 7 December. Reports differ on some dates, so the prospectus and VFEX announcements are the final word.

One summary says the sale is not underwritten and needs US$5 million of applications or refunds follow, but that is not confirmed here. The figures come from offer terms and company data published on 14 and 31 October 2026, so the final prospectus may differ.
