Cleared by the regulator. Brazil’s competition authority CADE approved the takeover without restrictions in June.

The deal, in plain terms

Ecopetrol Investimentos do Brasil, the Brazilian arm of Colombia’s state-controlled oil group, bought 116,110,717 ordinary shares in Brava Energia (B3: BRAV3) at auction on 5 August. The price was R$23.00 (US$4.49) a share, or R$2.67 billion (US$521 million) in total.

That block is roughly 25% of Brava’s capital. Added to shares agreed back in April, it lifts Ecopetrol to 51% of the voting capital — control.

The money changes hands on 17 August. Converted at 5.12 reais to the dollar, the settlement is worth about US$521 million.

Two tranches, not one

It helps to separate the two halves. The 5 August event was a voluntary partial tender offer run on the exchange and open to every holder, so those 116 million shares came from Brava’s minority shareholders.

The other half was agreed privately on 23 April, when Ecopetrol contracted to buy about 26% from a group of funds — Jive, Yellowstone and the Somah Printemps Quantum block. Both legs settle on the same day.

Brazil’s competition authority, CADE, cleared the takeover without restrictions on 17 June, and the auction went ahead once the remaining conditions were met.

What Ecopetrol is actually buying

Brava operates the Potiguar and Recôncavo onshore clusters and the offshore Papa-Terra, Atlanta and Peroá fields. It also holds minority stakes in Pescada, Manati and Parque das Conchas.

On paper that is 459 million barrels of oil equivalent in proved reserves and roughly 81,000 barrels of oil equivalent a day of output last year.

For Ecopetrol it is the clearest step yet out of Colombia. The group already struck gas with Petrobras off Colombia’s Caribbean coast, and Brazil now becomes the place where its international ambitions are largest.

The quarter beneath the headline

Brava published second-quarter results the same week. Net income came to R$871 million (US$170 million) — down about 17% from R$1.05 billion (US$205 million) a year earlier.

The operating business grew. Net revenue set a record at R$3.6 billion (US$703 million), up 14%, and adjusted earnings before interest, tax, depreciation and amortisation reached a record R$1.77 billion (US$346 million), up 33%.

What dragged was finance. The first quarter had carried a net financial loss of R$1.58 billion (US$309 million), driven by a R$2.14 billion (US$418 million) mark-to-market loss on oil hedges, partly offset by R$830 million (US$162 million) of gains on debt hedges. That pressure eased in the second quarter.

So the operating business is bigger and the accounting calmer — but the bottom line is thinner than it was.

Why the timing is awkward
