Guyana Gold Spinoff Could Earn US$200M

GUYANA · MINING

Key Facts

  • The company G3 Goldfields is a new Canadian gold explorer spun out of G2 Goldfields in 2026.
  • The payment G3’s chief executive says it earns US$25 million for each 500,000 ounces added to Oko’s resource estimate.
  • The cap The company puts the total at up to US$200 million, over up to 10 years.
  • The buyer G Mining Ventures bought G2 in a deal worth about US$2.2 billion (C$3 billion).
  • The source G3’s chief executive, Dan Noone, described the terms in public remarks; we have not seen the contract.

G3 Goldfields, a new Canadian explorer working in Guyana, will earn US$25 million each time the Oko gold resource grows by at least 500,000 ounces, its chief executive, Dan Noone, says. He described the terms in remarks at a gold industry summit in Beaver Creek, Colorado, which were made public on Thursday 29 October 2026.

For US investors, the story shows how a US$2.2 billion gold takeover in the Guianas left a smaller company with a share of any future discovery. G Mining Ventures, the buyer, is a Canadian gold miner.

In Plain English

  • Oko: a gold district in Region Seven (Cuyuni-Mazaruni), in Guyana’s interior.
  • Resource estimate: a mining company’s published count of how much gold is in the ground.
  • CVR: a contingent value right, a promise to pay money later if a stated target is reached.

What Happened

Noone said G3 receives US$25 million for every increase of at least 500,000 ounces in the resource estimate for Oko-Ghanie, the project G2 held. Payments stop when they reach US$200 million, and they can continue for up to 10 years.

The buyer usually publishes an updated resource estimate in the first quarter of each year, Noone said. He said a contingent value right lets G3 share in the growth of the Oko district without owning the mine.

How the Deal Works

G Mining Ventures agreed in April 2026 to buy all of G2 Goldfields in a court-approved arrangement valued at about C$3 billion (about US$2.2 billion). G2 shareholders received 0.212 G Mining shares for each G2 share, plus shares in G3.

G3 started with C$45 million in cash (about US$32 million) and the contingent value right, which pays up to US$200 million in total. G Mining’s Oko West project and G2’s Oko-Ghanie project sit in the same gold belt.

What the Numbers Mean

On Noone’s description, collecting the full US$200 million would need the Oko-Ghanie estimate to grow by 4 million ounces in total. That is eight steps of 500,000 ounces, each worth US$25 million.

G Mining says Oko West alone is expected to produce about 350,000 ounces of gold a year over the life of the mine. It says the combined operation could produce more than 500,000 ounces a year.

What It Means for You

If you hold gold-mining shares through US funds, the Oko district is now controlled by one operator, G Mining Ventures, with G3 holding only payment rights and exploration ground. Higher resource counts help G3 directly and also raise the value of the operator’s mine.

For Guyana-watchers, the deal adds to the foreign money moving into the country’s gold sector. We covered nine earlier foreign gold deals in Foreign Firms Strike Nine Guyana Gold Deals.

What Is Not Known

It is not known whether the Oko-Ghanie resource will grow enough to trigger any payment. The first test is the operator’s next estimate, which is normally published in the first quarter of 2027.

It is also unclear whether payments start only after the resource passes 3.5 million ounces, as one transcript of Noone’s remarks suggests. These terms are his description, not a published filing.

It is also not known what Guyana’s government will receive from the deal, because the terms we reviewed describe payments between companies. G3 has not published a drilling schedule for its remaining ground.
