Key Facts

  • —The count Nine foreign-company deals for gold properties in Guyana have been announced between 3 February and 13 October 2026, from small options to a takeover valued at about C$3.0 billion (about US$2.1 billion).
  • —The newest On 13 October a US-based investment firm signed a binding letter to put C$5 million (about US$3.5 million) into Canadian-listed Golden Shield Resources and end up with about 51% of it.
  • —The biggest G Mining Ventures closed its takeover of G2 Goldfields on 29 July, joining two neighbouring gold projects in Guyana’s Oko district into one.
  • —The rule Medium-scale mining permits can be held only by Guyanese citizens or firms owned entirely by Guyanese, so foreign buyers sign options, earn-ins and joint ventures with local holders.
  • —The US link Fortuna Mining trades on the New York Stock Exchange, and G Mining, Golden Shield and Lexston trade on US over-the-counter markets.
  • —What turns on it Only the G Mining takeover has closed; the other eight are options, earn-ins, letters of intent or deals still waiting for exchange approval.

Foreign companies have announced nine deals for gold properties in Guyana since 3 February 2026, the newest on Tuesday 13 October, when a US-based investment firm agreed to take about 51% of a Canadian-listed explorer. The South American country is best known for its oil, but its gold ground in the Guiana Shield is now being bought into by miners listed in New York, Canada and Australia.

US readers can reach the story through listed shares, because Fortuna Mining trades on the New York Stock Exchange and G Mining Ventures, Golden Shield Resources and Lexston Mining are quoted on US over-the-counter markets. The story also tests a Guyanese rule that keeps medium-scale permits in local hands, which is why nearly every deal below is an option, an earn-in or a letter of intent and not an outright purchase.

Kaieteur News, a Georgetown daily, counted the nine deals on Monday 19 October, and this report re-checked each one against the company’s own filings. Where a date or detail differs from that count, the filing is followed, and Canadian-dollar figures are converted at the house rate of the Friday 16 October close, C$1.4140 per US dollar.

The Newest Deal Brings a US-Based Investor

On Tuesday 13 October, Golden Shield Resources, listed on the Canadian Securities Exchange and quoted on a US over-the-counter market, signed a binding letter agreement with Walsh Karra Holdings, acting through its vehicle Aurevo Resources. The filing describes Walsh Karra as a US-based investment firm led by co-founders Gregory Walsh and Phani Karra, with holdings in artificial intelligence, data centres, climate ventures and mining.

Walsh Karra would put in C$5 million (about US$3.5 million), existing shareholders and management could add up to C$1 million (about US$0.7 million), and the investor would end up with about 51% of Golden Shield on a fully diluted basis. The board would be reshaped with two investor nominees, two company nominees and one independent director, and chairman and chief executive Leo Hathaway would hand over his roles.

The money stays in escrow until Guyana renews and issues Prospecting Licence PL 1/2021 for the Marudi Mountain project, in the Rupununi district about 500 kilometres south of Georgetown and 60 kilometres from the Brazilian border. If the conditions are not met by Wednesday 6 January 2027, the funds go back to the subscribers.

Golden Shield will also issue 13,000,000 shares for a licence to SimplyFI, an artificial-intelligence and blockchain system for tracing minerals. Walsh pointed to Aurevo’s “mineral passport traceability platform” and said the aim was to show “what a modern, accountable gold business looks like”.

The Biggest Deal Has Already Closed

G Mining Ventures, listed in Toronto and quoted on a US over-the-counter market, announced its takeover of G2 Goldfields on Thursday 9 April and closed it on Wednesday 29 July. The equity value was about C$3.0 billion (about US$2.1 billion), paid in G Mining shares, and G2 shareholders also received shares in a new explorer, G3 Goldfields, funded with C$45 million (about US$32 million).

The deal joins G Mining’s Oko West project with G2’s neighbouring Oko-Ghanie project in one holding of more than 362 square kilometres, with potential output of more than 500,000 ounces of gold a year against about 350,000 ounces for Oko West alone. G Mining targets first gold at Oko West in the second half of 2027, but on closing it stressed that the Oko-Ghanie resource numbers are historical estimates and not current resources.

Fortuna and XAU Share the Quartzstone Project

On Monday 20 April, Fortuna Mining, listed in New York and Toronto, signed an earn-in agreement with Qstone Inc., a private Guyanese company that holds the Quartzstone project about 120 kilometres west of Georgetown. Fortuna paid a non-refundable US$5 million option premium and can earn 51% by drilling at least 60,000 metres within four years, then 70% by funding a feasibility study.

Three days later, on Thursday 23 April, XAU Resources, listed on the TSX Venture Exchange, announced a non-binding letter of intent to buy QS Holdings, the Barbados parent of Qstone, in XAU shares with a deemed price of C$70 million (about US$49.5 million), and it signed a definitive agreement on Wednesday 10 June. XAU disclosed that its directors Peter Hambro and Gary Bay are also QS Holdings shareholders, so a committee of independent directors oversaw the talks.

XAU’s shares have been halted since 23 April while the exchange reviews the deal as a reverse takeover, and on Monday 5 October the parties pushed the closing deadline from 31 October to 31 January 2027. XAU’s annual meeting on Tuesday 20 October will not vote on the deal.

Five Smaller Deals Fill Out the List

On Wednesday 12 August, Australian-listed Liberty Metals announced a binding four-year option to buy 90% of the Oko North and Oko South projects, 40 permits covering about 180 square kilometres, from a private Guyanese vendor. The price is up to about US$8 million, mostly due in the third and fourth years, plus a one-time payment of US$15 to US$25 for each ounce in any bankable feasibility study, net of earlier payments and depending on the gold price.

Lighthouse Gold, listed on the Canadian Securities Exchange, has two deals: a definitive option dated Tuesday 3 February on the four-permit Aurora NW project for US$100,000 in cash and 2,000,000 shares, and a binding letter of intent announced on Monday 15 June on the three-permit Mariwa/Sardine Hill property. The second is worth US$1.05 million in cash and 35,000,000 shares, with a 1.0% royalty for the vendor that Lighthouse can buy back for US$4 million.

Aurora NW lies about seven kilometres from the Aurora mine, which Lighthouse describes as the largest active gold mine in Guyana and which is owned by China’s Zijin Mining Group. The Rio Times covered that mine’s first-half output in an earlier report.

In the northwest, Lexston Mining, a Canadian explorer quoted on a US over-the-counter market, signed a letter of intent on Tuesday 14 July to buy 15 claims of about 16,000 acres from claim-holder Joseph Jardine for US$1.1 million over five years, with Jardine keeping a 2% royalty and the alluvial gold rights. On Tuesday 18 August XAU signed an option with Consolidated Northwest Resources on the 15-permit Matthews Ridge property, with US$2.01 million in cash over four years, at least US$5 million of exploration work and a US$5 million payment to exercise.

Why Most Deals Are Options and Not Purchases

The Guyana Geology and Mines Commission (GGMC), the state regulator, says medium-scale permits are specific to Guyanese citizens and to companies whose beneficial owners are all Guyanese, and that a medium-scale prospecting permit cannot be transferred. It adds that foreigners have entered joint ventures with local holders, which it calls strictly private contracts, while foreign companies may apply for the prospecting licences that cover 500 to 12,800 acres.

Liberty’s filing shows how that works: its option is subject to any required consent of the Minister of Natural Resources or the commission, and once the payments are complete it may convert the permits into large-scale licences that a foreign-owned company can hold. The permits themselves cost little to hold, since GGMC lists rentals of US$1.00 an acre a year for medium-scale mining permits and US$0.25 an acre in the first year for a medium-scale prospecting permit, rising by US$0.10 a year.

President Irfaan Ali has pushed for Guyanese to own more of the large-scale opportunity. At Bartica on Friday 19 June, according to the government’s Department of Public Information, he announced plans for a national mining company and said: “Instead of having large miners from around the world taking up the large-scale opportunity, we are going to build this national mining company together.”

What It Means for You

For a US investor the nine deals are not equal: G Mining and Fortuna are producers with mines elsewhere, while the others are small explorers whose filings describe exploration plans, not production. Even a closed deal such as G Mining’s carries a start date that depends on permits and construction, with first gold at Oko West targeted for the second half of 2027.

For buyers of gold and jewellery, Walsh Karra’s plan to trace Marudi gold digitally shows that proof of origin is becoming part of the sales pitch for gold from the Guiana Shield. Whether the system will be built, and who will audit it, is not yet public.

What Is Not Known

Whether the pending deals will close is open. Golden Shield’s needs a licence renewal and approval from shareholders and the exchange, XAU’s needs a reverse-takeover clearance and a financing, and no signed definitive agreement was found for Lexston’s letter of intent, which Lexston said on Monday 20 July it had begun drafting, or for Lighthouse’s Mariwa/Sardine Hill letter.

Kaieteur News describes the Matthews Ridge seller, Consolidated Northwest Resources, as a Russian company, but XAU’s filing calls it only an arm’s-length party and gives no nationality or owners. The Rio Times could not confirm the seller’s ownership from any filing it reviewed.

The nine-deal count is not the whole market, because Liberty’s filing also names Altair Minerals as holding about 590 square kilometres in the Oko district, and no ministry or GGMC comment on these nine deals was found. It is also unclear what the state receives from the sales, since the filings describe payments between companies and sellers, apart from US$346,000 that Liberty’s filing says went to the GGMC on the vendor’s behalf for a purpose it does not state.

Frequently Asked Questions

Which companies made the nine deals?

The buyers are Walsh Karra Holdings with Golden Shield Resources, G Mining Ventures, Fortuna Mining, XAU Resources with two deals, Liberty Metals, Lighthouse Gold with two deals and Lexston Mining. Apart from the US-based Walsh Karra, they are listed in Canada or Australia, and Fortuna is also listed in New York.

Can foreign companies own Guyanese mining permits?

Not medium-scale permits, which the Geology and Mines Commission says are limited to Guyanese citizens and firms owned entirely by Guyanese. Foreign companies can apply for large-scale prospecting licences or sign joint ventures and options with local holders.

Which of the nine deals is the largest?

G Mining Ventures’ takeover of G2 Goldfields is the largest, valued at about C$3.0 billion (about US$2.1 billion), and it closed on 29 July. It combined the Oko West and Oko-Ghanie gold projects into one holding.

Can US investors buy shares in these companies?

Fortuna Mining trades on the New York Stock Exchange, and G Mining, Golden Shield and Lexston are quoted on US over-the-counter markets. Several others trade only in Canada or Australia, and nothing in this article is investment advice.

What happens next at the Quartzstone project?

Fortuna can earn up to 70% by drilling and funding a feasibility study, while XAU has agreed to buy the company that owns the project, subject to exchange approval. XAU and QS Holdings, the Barbados parent of the company that holds the project, have extended their closing deadline to 31 January 2027.
