A Long-Awaited Return to the IPO Market

Compass, the natural-gas distribution and trading arm of the Cosan group, priced its IPO at R$28.00 (about US$5.51) per share and began trading on São Paulo’s B3 exchange on Monday 11 May 2026 under the ticker PASS3.

The pricing landed at the bottom of the indicated R$28–R$35 (about US$5.51–US$6.89) band. The base offering of about 89.3 million shares raised roughly R$2.5 billion (about US$492 million); with the supplementary over-allotment lot, the total could reach as much as R$3.2 billion (about US$630 million), according to figures reported by Bloomberg and InfoMoney.

The listing valued Compass at around R$20 billion (about US$3.9 billion).

Ending Brazil’s IPO Drought

The deal is significant less for its size than its symbolism: it was the first IPO on B3 since 2021, ending a drought of nearly five years that several outlets called the longest such gap in Brazil in decades.

Brazil’s new-listings market froze after 2021 as high domestic interest rates, currency swings and political uncertainty pushed investors toward fixed income and kept would-be issuers on the sidelines.

A successful debut by a large, established company like Compass was watched as a test of whether the window for Brazilian equity offerings had reopened.

A Fully Secondary Deal, No New Cash for Compass

The offering was entirely secondary. That means Compass issued no new shares and received none of the proceeds; instead, existing shareholders sold down their stakes.

The main seller was Cosan, Compass’s controlling shareholder, which sold about 76.78 million shares for roughly R$2.15 billion (about US$423 million). The structure gave Cosan, which has carried substantial debt, a way to raise cash and cut leverage.

For new investors, the secondary format means the money raised does not fund expansion, debt reduction or investment at Compass itself, a point analysts flagged when the price landed at the low end of the range.

What Compass Does

Compass is one of Brazil’s largest natural-gas players. It is built around gas distribution, including Comgás, the country’s biggest piped-gas distributor, which serves São Paulo state, alongside gas marketing and infrastructure assets.

Natural gas sits at the centre of Brazil’s energy-transition debate, and Compass has expanded through distribution networks and regasification capacity.

The company had first tried to list around 2020, when Cosan filed and then shelved the plan amid unfavourable market conditions; the 2026 deal revived that long-delayed ambition.

Why the Price Landed Low

Pricing at R$28 (about US$5.51), the floor of the range, signalled that investors demanded a discount to commit to Brazil’s first big equity offering in years.

Brazil Stock Guide and others framed the outcome as an issuer discount: the deal got done, reopening the market, but on terms more favourable to buyers than to sellers.

Even so, completing a multibillion-real offering after such a long freeze was widely read as a modest vote of confidence in Brazilian equities.

What It Signals for B3 and Cosan

A completed IPO can encourage other Brazilian companies that had delayed listings to test the market, though bankers cautioned that one deal does not make a trend.
