Key Facts

What happened. Braskem’s preferred shares closed down 15.16% on 16 September after a downgrade to sell.
Who moved. UBS BB cut the stock from neutral and lowered its target by about three quarters.
The catch. Most coverage reported a 13% fall. Those were intraday prints, taken before the close.
The bigger picture. Braskem filed for out-of-court restructuring in August, covering about US$10.9 billion of debt.
Who owns it now. IG4 Capital took control in June 2026. Petrobras remains co-controller.
What the bank expects. It estimates net debt must fall by US$6 billion to US$6.5 billion.

A single research note took a sixth off the value of Brazil’s largest petrochemical maker in one session. The note said out loud what the restructuring already implied.

Braskem’s preferred shares closed at R$4.53, about US$0.88, on 16 September 2026, down 15.16%. UBS BB had cut its recommendation to sell that morning.

The Number Most Reports Got Wrong

The closing fall was 15.16%, from R$5.34 the previous session, or about US$1.04. The intraday low was slightly deeper.

The American depositary share fell 15.71%, to US$1.77. That confirms the size of the move independently.

Several Brazilian outlets headlined a drop of about 13%. Those figures were published before the close.

Anyone correcting 15% down to 13% is correcting in the wrong direction.

What the Bank Actually Said

The analysts were Tasso Vasconcellos and João Barichello. They moved the rating from neutral to sell.

The price target went from R$10.50 to R$3.75, a cut of about three quarters. The dollar target fell from US$4.00 to US$1.50.

Their central line was that they still see no easy way out for the company.

They also acknowledged being somewhat late with the downgrade, after roughly three months of declines.

On the industry, they said petrochemical margins have returned largely to where they sat before the Middle East conflict.

They pointed to Chinese capacity coming on stream in 2027. It outpaces demand growth and holds margins at levels typical of a cycle trough.

Where Braskem Is in Its Own Cycle

This is not a company surprised by a research note. It filed for out-of-court restructuring on 24 August 2026.

The filing covers about US$10.9 billion of financial debt, roughly two thirds of it held by bondholders.

It won a 90-day stay. Leverage stood at 6.74 times earnings in the second quarter.

Standard and Poor’s cut the company to default in June. Fitch moved it to restricted default in August.

UBS BB puts the deadline for a creditor agreement at 22 November 2026. That date is the bank’s own estimate.

Its dilution range of 70% to 95% for minority shareholders is also an estimate, not company guidance.

Who Owns It Now

One widely repeated fact is out of date. Novonor, the former Odebrecht, no longer holds its stake.

It signed the sale of 50.1% of the voting capital to IG4 Capital in April 2026. The competition authority cleared it.

IG4 took control in June 2026. A tender offer for the free float is contractually required.

Petrobras remains co-controller, with about 47% of voting capital and 36.1% of the total.

So the ownership question that hung over Braskem for years is settled. The debt question is not.

The Liability That Never Goes Away

Braskem caused ground subsidence in Maceió, in the state of Alagoas, through salt mining. Whole neighbourhoods were evacuated.

It has already paid out more than R$4.2 billion, about US$815 million, in compensation and relocation.

A further R$3.24 billion, roughly US$629 million, is still provisioned for future costs.

A new legal action over Maceió this year knocked more than 9% off the shares in a single session.

Any assessment of the company that leaves Maceió out is incomplete.

The Mexican Side

Braskem Idesa, its joint venture in Mexico, filed for Chapter 11 protection in the United States.

Braskem committed US$476 million to keep control of it.

Talks there include a possible capital increase and converting debt into equity.

That is the same medicine being discussed for the parent, on a smaller scale.

What It Means If You Hold the Shares

A sell rating is an opinion. The restructuring filing and the default ratings are facts, and they came first.

The specific risk the bank is pricing is dilution. If debt converts to equity, existing shareholders own less of the same company.

For an ordinary investor the practical question is not the target price but the creditor agreement.

If that agreement lands, the terms will tell you what the shares are worth. If it does not, the stay expires.

Nobody needs to act on a research note the day it appears. The November deadline is the date that matters.

What Is Not Yet Known

The final restructuring terms have not been agreed. Adherence stood at just under 40% of creditors when the filing was made.

How much of the debt converts to equity is the open question, and it decides the dilution.

Reported debt figures vary between US$10.9 billion and various real amounts. The company’s own filing uses the dollar figure.

The difference between those numbers is the exchange rate applied, not disagreement about the debt.
