Votorantim Doubles Stake in Hypera to 11%, Seeks Board Seats

Brazilian conglomerate Votorantim has doubled its stake in pharmaceutical giant Hypera to 11%, according to a market announcement released Monday. The group now holds 69.81 million ordinary shares, significantly expanding its position from the previous 5.11%.

Votorantim plans to start discussions with Hypera’s controlling shareholders about potential governance roles. The group explicitly mentioned interest in nominating board members and participating in shareholder agreements.

The Ermírio de Moraes family-owned conglomerate first entered Hypera‘s shareholder structure in May 2023. Their initial acquisition represented a R$1.2 billion investment that marked Votorantim’s entry into the healthcare sector.

This latest move positions Votorantim as one of Hypera’s major shareholders. The pharmaceutical company’s ownership currently includes founder João Alves de Queiroz Filho (known as “Júnior”) with 21.4% and Mexican investor Maiorem with 14.7%.

Market analysts view this investment expansion as a strategic defensive maneuver. The increased stake could help shield Hypera from hostile takeover attempts.

Previous reports indicated that pharmaceutical competitors EMS and Eurofarma had shown interest in merging with Hypera. Votorantim’s increased investment aligns with its broader diversification strategy.

The industrial group has actively expanded beyond traditional sectors in recent years. Their portfolio now includes stakes in infrastructure company CCR and renewable energy ventures.

Votorantim Strengthens Position in Hypera

Hypera stands as one of Brazil’s largest pharmaceutical companies with 2022 revenues reaching R$7.54 billion. The company owns numerous well-known consumer brands including Benegrip, Buscopan, Engov, and Zero-Cal.

The pharmaceutical sector attracts Votorantim due to its resilience and strong cash generation potential. These characteristics match the group’s investment philosophy focused on long-term growth opportunities.

With this strengthened position, Votorantim and Hypera’s founder could create a powerful controlling block. Together they would hold approximately 32.4% of shares, making hostile acquisition attempts significantly more difficult.

Votorantim representatives declined to comment specifically on the Hypera investment. However, CEO João Schmidt previously stated that healthcare represents a promising sector with substantial consolidation opportunities.
