Gerdau Finalizes Full Acquisition of Gerdau Summit for $32.6 Million

Brazilian steelmaker Gerdau S.A. (GGBR4) announced on February 10, 2025, that it has completed the acquisition of the remaining shares in its joint venture, Gerdau Summit Aços Fundidos e Forjados S.A.

The deal, valued at $32.6 million, involved purchasing a 39.53% stake from Sumitomo Corporation and a 1.74% stake from The Japan Steel Works (JSW). This acquisition gives Gerdau full ownership of the company.

The acquisition was first disclosed in November 2024. It aligns with Gerdau’s strategy to expand its portfolio of high-value-added products and enhance synergies across its operations.

The payment was made in cash using Gerdau‘s own resources, with the transaction closing after receiving regulatory approvals. Gerdau Summit, based in Pindamonhangaba, São Paulo, specializes in cast and forged steel products with an annual production capacity of 40,000 tons.

The facility manufactures rolls and shafts for critical industries such as steel, aluminum, sugarcane ethanol, and energy. By acquiring full control of this subsidiary, Gerdau aims to strengthen its position in specialized steel markets while optimizing operational efficiencies.

The market responded positively to the news. On the day of the announcement, Gerdau’s shares rose by 4.19%, trading at R$17.40 on Brazil’s B3 stock exchange.

Investors appear optimistic about the company’s strategic focus on higher-margin products and its ability to compete effectively in global markets. This acquisition is part of a broader effort by Gerdau to streamline its operations and focus on core assets with growth potential.

Gerdau’s Strategic Focus

In recent years, the company has divested non-strategic businesses while investing in renewable energy projects and advanced manufacturing capabilities. For instance, Gerdau has committed significant resources to solar and wind energy initiatives in Brazil and the United States.

This effort is driven through its “Gerdau Next” division. The completion of this deal underscores Gerdau’s commitment to innovation and long-term growth amid a competitive global steel market.
