Brazil Reclaims Influence in Eletrobras Amid Privatization Tensions

Brazil’s government has struck a pivotal agreement with Eletrobras, redefining its role in the privatized energy giant while addressing long-standing governance and infrastructure issues.

This deal, announced on February 28, 2025, highlights the tension between public oversight and private-sector control in managing critical national assets.

Eletrobras, responsible for roughly 30% of Brazil’s electricity generation, was privatized in 2022 under Jair Bolsonaro’s administration. The government’s stake dropped to 45%, with voting rights capped at 10% for any shareholder, including the Union.

President Luiz Inácio Lula da Silva’s administration challenged this privatization after taking office in 2023, arguing for greater state influence over strategic energy decisions.

Under the new agreement, the Union will appoint three of ten board members (up from one) and one fiscal council member. However, the 10% voting cap remains, preserving investor confidence while granting the government a stronger voice in corporate governance.

Brazil’s Energy Sector

This compromise reflects an effort to balance public accountability with private-sector independence. The deal also addresses the stalled Angra 3 nuclear power plant, a project plagued by delays since construction began in 1981.

Completing it would cost R$23 billion ($3.8 billion), while abandoning it would still require R$21 billion ($3.5 billion), excluding R$12 billion ($2 billion) already spent.

Eletrobras is no longer obligated to fund Angra 3 beyond its current commitments. This could potentially shift costs to taxpayers or consumers through higher tariffs.

Additionally, Eletrobras may divest its stake in Eletronuclear with government support to find new investors. The company will also invest R$2.4 billion ($400 million) to extend Angra 1’s lifespan.

This agreement underscores Brazil’s challenge of balancing privatization with public responsibility while navigating financial risks tied to unfinished infrastructure.
