In Brazil, a blend of domestic uncertainty and unpredictable economic policies has slowed the pace of mergers and acquisitions (M&A).

The latest figures from Dealogic reveal that as of September 17, the number of M&A transactions dropped to 350, a 19% decline from last year.

However, significant deals like the Dasa-Amil hospital merger pushed the financial volume up to R$90.7 billion, marking a 29% increase.

Experts highlight tax reform debates and other economic concerns as key deterrents for investors. These issues complicate asset valuation, which can delay the finalizing of deals.

Yet, Roderick Greenlees of Itaú BBA remains optimistic, noting strong activity across various sectors aiming to streamline costs through consolidation.

This year saw noteworthy mergers such as Arezzo with Soma and Petz with Cobasi in the retail sector.

In the energy sector, strategic moves were prominent, with Enauta and 3R joining forces and Eletrobras selling thermal plants to Âmbar.

Another major transaction involved AES selling its control to Auren. These mergers not only increased the average deal size but also boosted the financial totals significantly.

Despite the vibrant deal-making scene at Itaú BBA, Greenlees admits that political uncertainties could cause delays.

The bank has seen growth in its market share, particularly in mid-market deals. Diogo Aragão of Bank of America in Brazil notes ongoing closures.

He remains cautious about maintaining this momentum in the second half of the year, with U.S. elections and other factors introducing more uncertainty.

Challenges in Brazil’s M&A Landscape

Currency fluctuations and a sluggish stock market also complicate M&A negotiations by making it harder to price assets correctly.

Daniel Wainstein from Seneca Evercore observes that these factors are reflected in the slower transaction closures.

A notable decline occurred in cross-border deals, which plunged from 64% of last year’s total activity to just 9% this year.

Poor communication and mixed signals have made international investors particularly wary.

Renata Simón from VBSO Advogados comments on the challenging environment for negotiations, exacerbated by doubts over the government’s fiscal management.

The inactivity of private equity funds has mirrored the stagnant scenario for new entries on the Brazilian stock market, which has been almost inactive for nearly three years.

Overall, Brazil’s M&A activity illustrates the complex interplay of economic policy, market conditions, and investor sentiment.

While significant deals continue to be struck, broader economic and political uncertainties loom, potentially shaping future transaction landscapes in profound ways.
