Petrobras Eyes Raízen Stake as Losses Mount in South America’s Ethanol Sector

Petrobras, Brazil’s state oil giant, is weighing a move to buy a minority stake in Raízen, the country’s main ethanol and sugar producer.

This possible investment comes as Raízen struggles with rising debt and heavy losses, making the deal more than just a routine partnership.

Raízen faces real challenges. The company posted a net loss of R$1.8 billion in the first quarter of 2025, a reversal from a R$1.1 billion profit a year earlier.

Its debt surged to R$58.7 billion in March, nearly double last year’s figure. Shares have plummeted, and executives now openly seek a partner who can inject capital and restore stability.

Petrobras, for its part, wants to re-enter biofuels after pulling back from renewables in past years. Its leaders now see ethanol as a practical way to diversify and cut carbon emissions.

A deal could give Petrobras immediate scale in the sector without having to build new operations from scratch. But there are obstacles. Petrobras cannot expand its fuel distribution network due to a non-compete clause with Vibra Energia until 2029.

If it invests in Raízen, both companies must find careful ways to avoid conflict in distributing fuel. Solutions could include splitting assets or unique management agreements.

Raízen stands out globally. With backing from Cosan and Shell, it operates 29 sugarcane mills and runs over 8,000 fuel stations across South America.

It is the only producer that makes advanced ethanol from sugarcane waste at commercial scale—a green credential with growing appeal. If Petrobras becomes a partner, it could help Raízen lower its debt and regain investor confidence.

For Brazil, which exports sugar and ethanol globally, these changes would ripple far beyond national borders—shaping trade, climate goals, and how major energy firms collaborate.
