Concession Economics 30-year contract with annual revenue near R$500 million (~US$98 million) and projected R$4 billion (~US$784 million) in CAPEX.

Regulatory Approval Brazil’s National Land Transport Agency (ANTT) approved the control transfer on July 16, 2026.

JiveMaua Rota Verde has become the latest case study in Brazilian distressed infrastructure after the São Paulo-based alternative-asset manager converted a creditor position into an 80% equity stake in the Rota Verde Goiás highway concession. The transaction, approved by Brazil’s National Land Transport Agency (ANTT) in July 2026, sees JiveMaua take operational control of a 426-kilometer toll-road corridor that connects the agricultural heartland of Goiás state to key logistics hubs.

From Creditor to Controller: The Distressed-Infra Playbook

JiveMaua did not win a new highway auction. It took over an existing concession from the troubled engineering group Azevedo & Travassos, which had signed the 30-year contract in March 2025 but quickly faced financial strain.

The asset manager had previously acted as a lender through its Distressed & Special Situations Fund IV, injecting around R$400 million (~US$78.4 million) to finance Azevedo & Travassos’s equity share in the project.

When the construction group closed its investment cycle, JiveMaua liquidated R$191.6 million (~US$37.6 million) in debentures and converted that credit into direct ownership. The remaining 20% stays with Tecpav, a road-engineering firm.

For foreign investors unfamiliar with the model, this is a classic distressed-infrastructure play: a fund steps in as a lender of last resort, the original sponsor exits, and the creditor becomes the controlling shareholder with a clear path to operational turnaround.

The Rota Verde Asset: A Goiás Logistics Artery

The Rota Verde Goiás concession covers the BR-060 and BR-452 highways, a 426-kilometer stretch running between Goiânia, Rio Verde, and Itumbiara. The corridor is a vital artery for moving soybeans, corn, and meat from one of Brazil’s most productive agricultural states.

Annual gross revenue is estimated at around R$500 million (~US$98 million). Over the 30-year life of the contract, total capital expenditure is projected at roughly R$4 billion (~US$784 million), with a similar amount earmarked for operating expenses.

The concession began in April 2025 and still has nearly all of its investment cycle ahead. JiveMaua has stated it will now focus on asset development, including securing the long-term financing needed for the CAPEX plan in the coming years.

Why Brazil’s Highway Auctions Are Attracting New Capital

Brazil has been running a steady pipeline of road and airport auctions since 2019, drawing international operators such as France’s Vinci and Spain’s Abertis. The Rota Verde case adds a different layer: secondary-market takeovers of concessions that hit financial trouble early.

High interest rates in Brazil, with the Selic benchmark well into double digits for much of 2024-2025, squeezed highly leveraged construction groups. That created a pool of distressed assets for funds like JiveMaua, which raised capital specifically for special-situations investing.

The manager has signaled it is not stopping with Rota Verde. Local press reports indicate JiveMaua is already evaluating other highway auctions, including the Rota do Pequi tender, as it builds an infrastructure equity platform.

What Foreign Investors Should Watch

For expats and international funds tracking Latin American infrastructure, the JiveMaua Rota Verde deal highlights a growing secondary market for concession rights. Distressed takeovers can offer entry at a discount to greenfield auction prices, but they carry execution risk tied to regulatory approvals and operational ramp-up.

ANTT’s swift clearance of the control transfer, just months after the concession began, suggests Brazilian regulators are open to ownership changes that keep projects moving. That is a positive signal for creditors considering similar debt-to-equity conversions.

The key metric to monitor will be how quickly JiveMaua secures project-finance loans for the CAPEX plan. Delays in road widening and pavement upgrades could push revenue below the R$500 million annual estimate, testing the thesis that distressed entry prices compensate for operational complexity.

The Bigger Picture: Distressed Debt Meets Real Assets

JiveMaua, founded in 2011, has built a reputation in Brazilian special situations, restructuring, and private credit. The Rota Verde move marks its debut as an infrastructure operator, not just a financial investor.

The firm’s strategy mirrors a global trend where credit funds step into real-asset ownership when traditional sponsors retreat. In Latin America, where capital markets are shallower and construction companies often lack deep balance sheets, the playbook could repeat across toll roads, logistics parks, and energy assets.

With about R$4 billion in CAPEX and R$4 billion in OPEX projected over three decades, Rota Verde is a long-duration bet on Brazilian agribusiness logistics. Its success or failure will be closely watched by other alternative managers considering similar moves in the region.
