Egypt’s Financial Regulatory Authority (FRA), the watchdog for the country’s non-bank financial markets, approved on Sunday 18 October 2026 the prospectus for selling 30% of state-owned Banque du Caire on the Egyptian Exchange. Orders opened on Monday 19 October at EGP 4.82 to EGP 5.30 a share (about US$0.09 to US$0.10), valuing the stake at up to EGP 24.25 billion (about US$454 million) and giving US funds a route into an Egyptian state bank.

The approval ends a nine-year wait that began when the bank’s shares were provisionally listed on the Egyptian Exchange on 8 February 2017. Banque du Caire first announced the plan on 11 October, and the new facts are the regulator’s approval, the price range, the timetable and four anchor investors.

What the Regulator Approved

The prospectus covers up to 4.575 billion existing shares owned by Banque Misr, the state bank that controls Banque du Caire, so the money goes to the seller and not to the bank. Of those, 95%, or 4.34625 billion shares, go to qualified investors in a private placement and 5%, or 228.75 million shares, to the public in Egypt.

If demand is strong the sale can grow by up to 2.2875 billion shares to 45% of the bank, which at the top of the range would be worth about EGP 36.4 billion (about US$681 million). Any such increase needs separate FRA approval and must be announced at least three days before the public offer closes.

The FRA said the approval rests on a fair-value study by the financial adviser Baker Tilly, which put the value at EGP 5.30 a share (about US$0.10), the top of the range. It stressed that the approval is not a judgment on the bank’s value or a recommendation to buy, and it told the bank to show proof of Cabinet approval before trading starts, as Article 11 of Law 170 of 2025 on state-owned companies requires.

Dates, Prices and Anchor Investors

The book-building period for institutions runs from Monday 19 to Friday 23 October, with minimum orders of EGP 5 million (about US$93,600) for wealthy individuals and EGP 10 million (about US$187,000) for financial institutions. The final price is due by Monday 26 October, the retail offer at an initial EGP 5.30 a share (about US$0.10) runs to Wednesday 28 October, and trading is expected in early November.

In a disclosure to the exchange on 19 October, Banque du Caire named four investors that have agreed to buy shares in the private tranche at the final price. Helikon Investments, as manager of the Helikon Long Short Equity Fund, can take up to 25%, Mauritius-registered Sustainable Capital up to 18%, RWC Asset Management with its affiliate RWC Asset Advisors (US) up to 11%, and UAE-registered Waha Investments up to 9%.

Together that is up to 63% of the private tranche, worth up to about EGP 14.5 billion (about US$272 million) at the top of the range. The bank said it will disclose each investor’s final allocation with the results of the offer.

Hashem El-Sayed, assistant to the prime minister and head of the cabinet’s State-Owned Companies Unit, tied the sale to the government’s offering program, under which about 28 state companies have been provisionally listed on the exchange. He said the aim is to move “from the stage of provisional listing to actual offering,” in line with the state ownership policy and Law 170 of 2025.

The Bank Being Sold

Banque du Caire reported net profit of EGP 8.9 billion (about US$167 million) for the first half of 2026 and total assets of EGP 561.2 billion (about US$10.5 billion) at the end of June. It has 242 branches and outlets and 2,205 cash machines across Egypt’s 27 governorates and serves about 3.2 million customers.

At the price range, the whole bank is valued at EGP 73.51 billion to EGP 80.83 billion (about US$1.38 billion to US$1.51 billion). Conversions in this article use the Egyptian pound’s close on Friday 16 October of EGP 53.40 per US dollar.

What It Means for US Readers

US pension funds, asset managers and hedge funds that qualify as institutional buyers can bid in the private placement, which is offered in the United States under Rule 144A, while the public tranche is aimed at investors in Egypt. A US-registered RWC affiliate among the four anchors shows that some US-linked money is already committed.

For investors, the final price will set a benchmark for Egypt’s other state sales, and returns in dollars also depend on the Egyptian pound. A strong order book would support the plan to sell stakes in some 28 provisionally listed state firms, while a weak one would cast doubt on it.

What Is Not Known

The final price, the size of each anchor investor’s allocation and whether the sale will be raised to 45% will only be known after the institutional book closes on 23 October. The FRA has not said when the Cabinet approval it requires before trading will be given.

Amwal Al Ghad, a Cairo business newspaper, reported on 19 October that the private tranche was fully covered within minutes, but it cited unnamed sources and neither the bank nor the exchange had confirmed it. Whether retail demand in Egypt matches institutional interest will only show when the public offer closes on 28 October.

Frequently Asked Questions

What did Egypt’s regulator approve?

The Financial Regulatory Authority approved the prospectus for selling up to 30% of Banque du Caire on 18 October 2026. The approval covers disclosure only and is not a recommendation to buy the shares.

How much is the Banque du Caire share sale worth?

At the top price of EGP 5.30 a share (about US$0.10), the 30% stake is worth about EGP 24.25 billion (about US$454 million). If raised to 45%, it would be worth about EGP 36.4 billion (about US$681 million) at that price.

Can US investors buy Banque du Caire shares?

US institutional investors that qualify under Rule 144A can bid in the private placement, which runs from 19 to 23 October. The public tranche is for investors in Egypt, and trading on the Egyptian Exchange is expected to start in early November.

Who is selling the shares?

Banque Misr, the state-owned bank that controls Banque du Caire, is selling existing shares, so Banque du Caire itself raises no new money. The sale is part of the government’s program to list stakes in state companies.

When will the final price be known?

The final price is due by Monday 26 October 2026, after the institutional book closes on 23 October. Each anchor investor’s allocation will be disclosed with the results.
