Key Facts

Control changes hands. Ecopetrol Brava Energia deal: the Colombian state oil company bought about 25% of Brava for R$2.67 billion (US$521 million), taking it to 51% of the voting capital.

The auction is done. Ecopetrol’s Brazilian arm took 116,110,717 ordinary shares at R$23.00 (US$4.49) each at auction on 5 August. Financial settlement falls on 17 August.

Two separate tranches. The auction shares came from minority holders tendering on the exchange. A separate April agreement covers about 26% bought from Jive, Yellowstone and the Somah Printemps Quantum block.

What Ecopetrol gets. Brava reports 459 million barrels of oil equivalent in proved reserves and averaged about 81,000 barrels of oil equivalent a day in 2025.

A weaker quarter underneath. Brava earned R$871 million (US$170 million) in the second quarter — record revenue and record adjusted earnings, but 17% less profit than a year earlier.

Cleared by the regulator. Brazil’s competition authority CADE approved the takeover without restrictions in June.

A Colombian state company is about to control an oil producer in Brazil — and it is paying for it just as its own management is in upheaval at home.

The deal, in plain terms

Ecopetrol Investimentos do Brasil, the Brazilian arm of Colombia’s state-controlled oil group, bought 116,110,717 ordinary shares in Brava Energia (B3: BRAV3) at auction on 5 August. The price was R$23.00 (US$4.49) a share, or R$2.67 billion (US$521 million) in total.

That block is roughly 25% of Brava’s capital. Added to shares agreed back in April, it lifts Ecopetrol to 51% of the voting capital — control.

The money changes hands on 17 August. Converted at 5.12 reais to the dollar, the settlement is worth about US$521 million.

Two tranches, not one

It helps to separate the two halves. The 5 August event was a voluntary partial tender offer run on the exchange and open to every holder, so those 116 million shares came from Brava’s minority shareholders.

The other half was agreed privately on 23 April, when Ecopetrol contracted to buy about 26% from a group of funds — Jive, Yellowstone and the Somah Printemps Quantum block. Both legs settle on the same day.

Brazil’s competition authority, CADE, cleared the takeover without restrictions on 17 June, and the auction went ahead once the remaining conditions were met.

What Ecopetrol is actually buying

Brava operates the Potiguar and Recôncavo onshore clusters and the offshore Papa-Terra, Atlanta and Peroá fields. It also holds minority stakes in Pescada, Manati and Parque das Conchas.

On paper that is 459 million barrels of oil equivalent in proved reserves and roughly 81,000 barrels of oil equivalent a day of output last year.

For Ecopetrol it is the clearest step yet out of Colombia. The group already struck gas with Petrobras off Colombia’s Caribbean coast, and Brazil now becomes the place where its international ambitions are largest.

The quarter beneath the headline

Brava published second-quarter results the same week. Net income came to R$871 million (US$170 million) — down about 17% from R$1.05 billion (US$205 million) a year earlier.

The operating business grew. Net revenue set a record at R$3.6 billion (US$703 million), up 14%, and adjusted earnings before interest, tax, depreciation and amortisation reached a record R$1.77 billion (US$346 million), up 33%.

What dragged was finance. The first quarter had carried a net financial loss of R$1.58 billion (US$309 million), driven by a R$2.14 billion (US$418 million) mark-to-market loss on oil hedges, partly offset by R$830 million (US$162 million) of gains on debt hedges. That pressure eased in the second quarter.

So the operating business is bigger and the accounting calmer — but the bottom line is thinner than it was.

Why the timing is awkward

Ecopetrol has just posted its best quarterly profit in nearly four years. It has also lost its chief executive to a corruption investigation and faces a board overhaul due at a September shareholder meeting.

Buying control of a foreign producer while the boardroom is being rebuilt is not the sequence any company would choose. It is happening anyway, which says something about how firmly the strategy is set.

The backdrop is not helping either. Crude has been sliding, and Latin American oil names have spent the week absorbing a falling oil price.

What it means for the region

Latin American oil companies have historically bought assets at home and sold them abroad. This runs the other way: a state company from Bogotá taking the controlling stake in a listed producer in São Paulo.

For Brazil it is another sign that the mid-tier producers left behind by Petrobras’s retreat from mature fields are consolidating into fewer, foreign-backed hands.

For Colombia it raises a harder question. Ecopetrol is spending abroad while its domestic reserve life shortens and its politics grow noisier. Whether that is diversification or distraction will not be clear for several years.

Frequently Asked Questions

How much did Ecopetrol pay for control of Brava Energia?

Ecopetrol paid R$2.67 billion, about US$521 million at 5.12 reais to the dollar, for roughly 25% of Brava Energia. It bought 116,110,717 ordinary shares at R$23.00 (US$4.49) each at auction on 5 August 2026. Combined with shares agreed in April, that takes it to 51% of the voting capital.

When does the Brava Energia deal complete?

Financial settlement is scheduled for 17 August 2026, covering both the auction shares and the separate block agreed in April. Brazil’s competition authority CADE approved the acquisition without restrictions on 17 June, and the auction proceeded on 5 August once the remaining conditions were satisfied.

What assets does Brava Energia own?

Brava operates the Potiguar and Recôncavo onshore clusters and the offshore Papa-Terra, Atlanta and Peroá fields, and holds non-operated stakes in Pescada, Manati and Parque das Conchas. It reports 459 million barrels of oil equivalent in proved reserves and averaged about 81,000 barrels of oil equivalent a day in 2025.

Did Brava’s latest results support the price?

Only partly. Brava earned R$871 million (US$170 million) in the second quarter of 2026, down roughly 17% from R$1.05 billion (US$205 million) a year earlier. Net revenue and adjusted earnings both set records, so the operating business grew; the weaker bottom line came from financial items rather than from oil.
