Smart Fit Takes Control of Brasília’s Evolve

Smart Fit told the market on 4 August 2026 that it had concluded, the previous day, the acquisition of a controlling stake in Evolve, a gym chain based in Brazil’s Federal District. The company subscribed to newly issued ordinary shares representing at least 60% of Evolve’s capital, giving it operational control rather than buying existing stock.

Smart Fit is Latin America’s largest gym operator by unit count, listed on Brazil’s B3 exchange under the ticker SMFT3. The Evolve move is the latest in a long string of bolt-on deals through which the company has consolidated a highly fragmented regional fitness market.

For readers outside Brazil, the Federal District is the administrative territory that contains the capital, Brasília. It is one of the country’s wealthiest jurisdictions by income per capita, which makes it an attractive base for a premium-leaning fitness brand.

How the Deal Is Structured

The operation is built around an enterprise value of R$199.7 million (about US$39 million), a figure that includes Evolve’s debt and cash. Smart Fit is putting in an initial R$39.7 million (about US$8 million), with a further payment of up to R$60 million (about US$12 million) that depends on the business hitting agreed performance targets.

Buying a regional operator that already knows its market is a common consolidation tactic. It gives the acquirer local real estate, membership bases and staff on day one, rather than the slower, riskier route of opening greenfield clubs from scratch.

Why the Center-West Matters

According to a note from brokerage XP, the deal could raise the Center-West’s weight in Smart Fit’s Brazilian operations from about 7% to roughly 10%. That is a meaningful shift for a company that measures its scale in hundreds of units nationwide.

The Center-West, anchored by Brasília and the agribusiness hubs of Goiás and Mato Grosso, has posted solid income growth on the back of commodity exports. Rising disposable income there supports demand for paid fitness memberships.

The Evolve purchase fits a well-established Smart Fit playbook: use its listed-company balance sheet and brand strength to absorb strong regional operators across Brazil and Spanish-speaking Latin America. Each deal adds units, data and negotiating power with landlords and equipment suppliers.

Consolidation has been the defining theme of the region’s fitness industry since the pandemic reshaped consumer habits. Larger chains have gained share as independent gyms struggled with financing and rising costs, and Smart Fit has been among the most acquisitive players.
