Context: How Jamaica Stock Exchange works, and what it makes issuers disclose · Jamaica on the LatAm Power Map

Sterling Investments Limited is one of the most unusual companies on the Jamaica Stock Exchange: it has no employees, no office staff, no factory — just a portfolio of global bonds and equities managed by an outside firm, quietly compounding on behalf of a few hundred shareholders.

What it is

SIL is an investment holding company formed in 2012 that exists to protect and grow the capital of its shareholders. It primarily invests in fixed income securities — bonds, mostly — and also holds and trades in other securities and investments.

Its mandate is to deliver attractive risk-adjusted returns by actively managing funds across a variety of portfolios, including opportunities in global capital markets and the real sector. It serves local and regional institutional and retail investors, including pension funds.

SIL listed its ordinary shares on the Main Market of the Jamaica Stock Exchange in October 2014. The company was incorporated in 2012 and is based in Castries, Saint Lucia.

Who owns it

Sterling Asset Management (SAM) is the investment manager for Sterling Investments Limited and owns preference shares in the company. SAM is therefore both the firm that runs the portfolio day-to-day and a capital stakeholder in the vehicle itself — an unusual alignment of interests.

Not published: the exact percentage of preference shares held by SAM, and the identity and stake of any controlling ordinary shareholder, are not disclosed in the sources opened — the JSE annual-report filing page (jamstockex.com/sterling-investments-limited-annual-report-2024), the company IR page (sterling.com.jm), and the JSE audited financial statements page — all of which were accessed. JSE Main Market rules require disclosure of shareholders holding 5% or more; the precise breakdown was not parseable from the PDFs rendered.

Who runs it

Sterling Investments Limited has no employees; all operations are managed by the investment manager, Sterling Asset Management Limited (SAM). SAM manages SIL’s portfolio and executes the directives of the Board.

Not published: the names of the board chairman and individual directors are not parseable from the sources accessed. The 2024 Annual Report PDF (sterling.com.jm, May 2025) and the JSE filing page both contain a Board of Directors section (page 8) and a Directors & Connected Parties section (page 10), but the PDF body text could not be extracted.

JSE listing rules require full director disclosure in annual reports; readers may retrieve the names directly from the PDF at the 2024 Annual Report.

The money, in plain words

SIL is a very small company by any global measure — its entire market value of roughly JMD 1.40 billion (about US$8.9 million) is less than many single transactions on larger Caribbean exchanges. It claims the lowest efficiency ratio and one of the highest net profit margins of any company on the Jamaica Stock Exchange.

That is structurally true: with no staff to pay and no premises to maintain, almost every dollar of income flows straight to profit, producing a trailing net profit margin of roughly 45% — meaning it keeps about 45 cents of profit for every dollar of revenue earned.

Total assets as of the latest quarter were JMD 1,889.79 million (about US$12 million) against total liabilities of JMD 267.92 million (about US$1.71 million), leaving shareholders’ equity of approximately JMD 1,621.87 million (about US$10.33 million) — our calculation. The company’s debt-to-equity ratio of 14.45% is low, meaning very little of its funding comes from borrowing.

The stock trades at roughly 26.5 times its trailing earnings — a price-to-earnings ratio of 26.5× — which is above the Jamaican capital-markets industry average of around 19×. Earnings have declined by about 6 to 11 percent per year over the past five years, which largely explains the caution warranted by that premium price tag.

What it is doing now

The audited financial statements for Sterling Investments Limited as at December 31, 2024 were filed with the JSE in March 2025. The company’s website lists a 2025 Annual Report and quarterly management discussion and analysis reports through Q3 2025.

Early investors in SIL avoided the National Debt Exchange, a 14% devaluation in 2013 and an 8% devaluation in 2014 — the company was founded precisely to protect Jamaican savings from that era’s currency and fiscal turbulence. Its challenge now is the reverse: a lower-rate global environment has squeezed returns on the bond-heavy portfolio it was built to run, producing the five-year earnings drift noted above.

What to watch

  • Earnings direction. The five-year trend of declining earnings is the single most important variable; a sustained reversal would justify the above-market P/E; a continuation would not.
  • Portfolio mix. Whether SAM shifts the portfolio toward higher-yielding assets as global rates evolve will determine whether the margin plateau holds.
  • Dividend reliability. The dividend track record is unstable, with annual drops of over 20% in the past. Income-seeking investors should treat any declared dividend as provisional rather than a floor.
  • Related-party concentration. SAM is simultaneously the investment manager, a preference-share holder, and the keeper of the portfolio mandate. Any change in that relationship would be material.
  • Liquidity. Sterling Investments is covered by zero analysts. With a market cap under US$9 million, trading is thin; even modest order flow can move the price sharply.
