Morgan Stanley upgraded Cogna to buy, lifting its price target to R$3.60 (about US$0.70), while in the very same report it double-downgraded rival Cruzeiro do Sul from buy to sell, slashing the target to R$5.00 (US$0.98). One bank, one sector, opposite verdicts – and the details behind each call are worth unpacking.

Why Morgan Stanley Upgraded Cogna

The bank’s analysts – Mauricio Cepeda, Lucas Nagano and Artur Alves – raised Cogna to buy, though the report does not say what the previous recommendation was. The price target went from R$3.50 to R$3.60 (US$0.69 to US$0.71) (from US$0.69 to US$0.70). Their optimism centres on Kroton, Cogna’s higher-education arm, where they estimate 10% revenue growth in 2026.

That growth, they argue, will be driven by a new wave of in-person nursing courses supported by distance-learning (EAD) hubs. Student intake is expected to jump 40% year on year in the third quarter of 2026. The analysts see these nursing programmes as a clear catalyst, drawing in students who want hands-on training without moving to a big city.

The valuation argument is equally specific. The bank says Cogna’s premium to peers has narrowed – not because of weak fundamentals, but because of selling pressure that compressed multiples. That created an attractive entry point for a company that is actually growing faster than its competitors. The gap to less liquid peers has closed, they argue, making Cogna look cheap by comparison.

The Risks They Acknowledged — and the Cruzeiro do Sul Cut

Morgan Stanley did not pretend it was a one-way bet. Short-term margin pressure is a real concern, and regulatory headwinds loom from the second half of 2027. Those are the same kinds of risks that weigh on the entire sector, but the bank clearly believes Cogna’s growth story overrides them for now.

Now the flip side. In the same report, Cruzeiro do Sul (CSED3) was double-downgraded from buy to sell, with the target slashed from R$7 to R$5 (US$1.38 to US$0.98) (from US$1.37 to US$0.98). That is a steep cut, and it shows the bank is not blindly bullish on education. It sees Cruzeiro as facing bigger structural challenges – though the report does not spell out exactly what, the contrast is striking.

Other names in the same report: Ser (SEER3) kept at overweight, target raised from R$18.50 to R$19 (US$3.64 to US$3.74) (from US$3.62 to US$3.72). Vitru (VTRU3) remains neutral, target up to R$17.50 (US$3.43). Ânima (ANIM3) is neutral, with the target cut from R$3.90 to R$3.00 (US$0.77 to US$0.59) (from US$0.76 to US$0.59). So the bank is selective, not sector-wide bullish.

Around 11am Brasília time on Friday, COGN3 was trading up 1.80% at R$2.24 (US$0.44), according to InfoMoney. That is an intraday level, not a closing price – so do not build a thesis on one morning’s move. Markets can overreact to a single rating change, and the full day’s trading may swing wildly.

Still, the initial reaction is consistent with the upgrade. Investors who were waiting for a catalyst may see this as a signal. But remember, the stock is still well below the new target of R$3.60 (US$0.70), which implies significant upside if the bank’s estimates prove right.

For anyone holding or considering Cogna, the key is to understand that Morgan Stanley’s call is based on a specific operational story – nursing courses via EAD hubs – not vague optimism. If that 40% intake growth materialises, the revenue estimates look plausible. If it stumbles, the risks they flagged will come to the fore.
