What OceanPact buys Dock Brasil for and how the deal works

OceanPact Serviços Marítimos S.A. (OPCT3) disclosed on 28 July 2026 that its subsidiary Estaleiro Farol de São Tomé signed a binding contract to acquire 100% of Dock Brasil’s shares. The base price is approximately R$119 million, structured on a debt-free, cash-free basis.

The transaction remains subject to customary suspensive conditions, including the prior restructuring and extinguishment of certain Dock Brasil indebtedness. OceanPact has not yet disclosed a closing date or provided guidance on the timing for definitive completion.

The price includes standard update and adjustment mechanisms, along with price-retention arrangements to secure indemnification obligations agreed in the contract. Dock Brasil is described in coverage as an existing, operational naval repair infrastructure focused on ship repair, maintenance, and docking capacity.

Why OceanPact buys Dock Brasil now

OceanPact frames the acquisition as another step in its strategy to expand maritime infrastructure capabilities. The company expects to significantly increase its capacity to provide repair, maintenance, and docking services for both its own vessels and third-party client vessels.

The move aims to boost operational efficiency, reduce operating costs, and strengthen vertical integration by internalising repair and maintenance activities. OceanPact argues this will enhance its competitiveness in the Brazilian maritime services market through better control over support infrastructure.

The acquisition also positions the company to respond more quickly to growing demand for specialised services linked to offshore, port, and maritime support sectors. Incorporating an established, operational yard allows OceanPact to improve its service offering for an expanding fleet and client base.

The CBO merger clears, creating a 73-vessel offshore giant

Brazil’s antitrust authority CADE approved the OceanPact-CBO business combination without restrictions on 27 July 2026, one day before the Dock Brasil announcement. The combined company will operate 73 offshore support vessels with projected annual revenue above R$4 billion (US$778 million).

The all-stock deal will see OceanPact issue approximately 274 million to 275 million new shares to CBO’s shareholders. CBO shareholders will hold roughly 57.86% to 58% of the combined company, while existing OceanPact shareholders retain about 42% to 43%.

The combined backlog stands at about R$14 billion (US$2.7 billion), providing strong revenue visibility. OceanPact’s Investor Relations director indicated at the Brazil Investment Forum 2026 that roughly 95% of the company’s revenue comes from long-term contracts of three to four years, reducing exposure to oil price volatility.

OceanPact’s offshore services profile and what it means for investors

Founded in 2007 in Rio de Janeiro, OceanPact started as an environmental consulting and oil spill response firm before evolving into a broad maritime services group. It now serves oil and gas, ports, mining, energy, and telecom clients across three main business units: environmental protection, subsea services, and maritime logistics and engineering.

Chartering of maritime support vessels accounts for about 67% of total revenue, while services in marine environments contribute roughly 33%. The company maintains dedicated bases for environmental protection and offshore logistics, including one of the largest environmental protection bases in Latin America at Porto do Açu in Rio de Janeiro state.

Decommissioning has become a major growth avenue within OceanPact’s services segment, supported by a large Petrobras budget for decommissioning in the 2026-2030 period. The Dock Brasil acquisition adds in-house repair capacity that should improve margins on both its own fleet maintenance and third-party work.

What the Dock Brasil deal signals for Brazil’s maritime sector

The acquisition reflects a broader consolidation trend in Brazil’s offshore services industry, where scale and vertical integration increasingly determine competitiveness. OceanPact is building an integrated platform that spans vessel ownership, subsea operations, environmental response, and now dedicated repair infrastructure.

For international investors and expats watching Brazil’s maritime sector, the deal signals confidence in sustained offshore activity despite global energy transition pressures. The long-term contract profile and Petrobras’s decommissioning budgets provide a multi-year demand floor that makes infrastructure investments like Dock Brasil economically rational.

The timing is notable: securing repair capacity immediately after CADE cleared the CBO merger suggests OceanPact is moving quickly to capture synergies and prepare the combined fleet for efficient operations. Investors should watch for the debt restructuring milestone at Dock Brasil as the next concrete signal on deal completion.
