What it is

Corporación Grupo Químico (CGQ) began operations in Venezuela in 1953, founded by the brothers Lope and Eugenio Mendoza Goiticoa, initially venturing into paints by establishing what was then Sherwin-Williams Venezolana C.A. — today known as C.A.

Venezolana de Pinturas. Its chemical arm was added in 1969 with the creation of C.A.

Química Integrada “Intequim,” a maker of synthetic resins and chemical products, with both units operating in Valencia, Carabobo state.

CGQ is a holding of several subsidiaries that execute activities across different branches of the paint and chemical industry, producing domestic and industrial paints, automotive paints, varnishes, and resins. The company once held roughly 20% of Venezuela’s paint market; today it operates at between 8% and 10% of its installed capacity.

Who owns it

In September 2024, two foreign entities — Esmeralda Holdings and Gemma Tactical Holdings — paid US$9.63 million to acquire 95.6% of CGQ’s shares (87.5 million units) through a formal public takeover offer conducted on the Bolsa de Valores de Caracas. That leaves a free float of roughly 4.4%, representing the remaining shares still trading on the exchange.

The takeover was authorised by Venezuela’s securities regulator, SUNAVAL, on 19 August 2024, covering up to 100% of the company’s capital. The identities behind Esmeralda Holdings and Gemma Tactical Holdings have not been further disclosed in available sources.

Who runs it

At an extraordinary shareholders’ meeting on 15 October 2024 — attended by representatives of more than 96% of shares — a new board was unanimously approved for the period 2024–2030, with Jorge Antonio Viera named President and Andrea Marcora as Vice-President. Other principal directors include Michael Penfold, Foud Sayegh, and Maria Amparo Llanes.

A separate CEO or CFO title is not disclosed in available sources; under CGQ’s governance structure, the board president leads executive decision-making. The appointment of an entirely new board directly follows the change in controlling shareholders.

The money, in plain words

228 billion (about US$326,000 at the current exchange rate), a figure that reflects deep operational distress rather than asset value. The 2024 takeover price was set at US$0.110 per share.

What it is doing now

The new owners have stated publicly that their goal is to restore the company’s production capacity, recover equipment, and strengthen cash flow so as to reposition CGQ in the Venezuelan market. Their investor report speaks of projected investment translating into higher cash flows for equipment recovery, market strategy, brand positioning, and operational management.

CGQ has also been active in Venezuela’s debt market: in 2023 and into 2024, the company issued short-term commercial paper totalling up to US$220,000 per series through the BVC, dollar-linked but settled in bolívares at the official exchange rate. These small debt placements suggest that working-capital needs remain pressing even as the new owners plan their turnaround.

What to watch

  • Reactivation speed. The new owners’ credibility rests on lifting utilisation from the current 8–10% of capacity. Any public announcement of new equipment purchases or resumed production at the Valencia plants is the clearest early signal.
  • Financial transparency. Audited 2024 figures exist but are not freely accessible. Watch for the company to publish them on its own investor-relations page, which would allow proper analysis of revenue trend, net margin, and whether equity is still positive.
  • Owner identity. Esmeralda Holdings and Gemma Tactical Holdings remain opaque. Disclosure of their ultimate beneficial owners — whether Venezuelan private capital or foreign industrial investors — would materially change how the market prices the recovery story.
  • Currency and macro risk. All of CGQ’s revenue is earned in bolívares in a country where the exchange rate moves daily; the dollar-linked commercial paper shows management is aware of this. Continued bolivar depreciation eats directly into any dollar-measured recovery.
