BTG Pactual’s Strategic Move to Acquire Brazil’s Busiest Airport

Brazil’s largest investment bank, BTG Pactual, actively negotiates the purchase of Invepar’s controlling stake in Guarulhos International Airport, São Paulo.

The bank aims to acquire the concession rights for Brazil’s busiest air transportation hub, signaling a strategic expansion beyond traditional financial services. Guarulhos Airport operates under a complex ownership structure.

The private consortium GRU Airport controls 51% of the concession, while state-owned Infraero maintains 49%. The private portion belongs to Grupar, composed of Invepar (80%) and Airports Company South Africa (20%).

Invepar itself has four major shareholders, each holding approximately 25% of the company. These include three state pension funds-Previ (Banco do Brasil), Funcef (Caixa Econômica Federal), and Petros (Petrobras)-alongside FIP Yosemite, which represents creditors of former shareholder OAS.

The potential acquisition builds on BTG’s growing presence at Guarulhos. The bank recently launched Latin America’s first private airport terminal at the location. BTG invested R$80 million ($14 million) in this exclusive facility, which began operations in December 2024.

The luxury terminal initially serves international departures between 5 PM and midnight. Twelve international airlines have already received approval to use the premium facility. BTG secured a 40-year concession for the terminal operation.

Travelers pay US$590 for the VIP experience, with BTG clients receiving special discounts. The service targets primarily business travelers, who represent an estimated 70% of the terminal’s expected clientele.

The 2,400-square-meter facility offers private check-in, security screening, customs, and immigration services. The terminal accommodates up to 14 people simultaneously to ensure personalized attention.

BTG Eyes Control of Brazil’s Busiest Airport

BTG plans expansion of the terminal services throughout 2025. Future phases will include international arrivals, connections, and domestic flights. Domestic services will likely cost US$375.

BTG’s interest in the main airport concession comes at a pivotal moment. GRU Airport signed an amendment with Brazil’s National Civil Aviation Agency in December 2024.

This agreement extended the concession contract by 16 months in exchange for R$1.4 billion ($250 million) in infrastructure investments through 2029. The existing master plan calls for approximately R$4.5 billion ($804 million) in total infrastructure investments.

These improvements aim to double Guarulhos Airport’s annual passenger capacity from 30 million to 60 million. If successful, BTG would gain control of Brazil’s premier aviation hub for the remaining contract period.

The bank would compete directly with financial rival XP Investimentos, which already manages airports in São Paulo and Rio de Janeiro. BTG Pactual declined to comment on the potential acquisition. Neither GRU Airport nor Invepar responded to inquiries about the negotiations.
